Who we are
umbraco.ninja is an independent company. We are not part of, owned by, affiliated with, endorsed by or sponsored by Umbraco A/S (Umbraco HQ), Microsoft, Amazon or any other company. We are simply umbraco.ninja, a specialist consultancy that works with the Umbraco CMS.
In these terms, "umbraco.ninja", "we", "us" and "our" mean [Company legal name], a company registered in [country] under company number [number], with its registered office at [registered address]. "You" means the person or organisation using our website or buying our services.
Independence and trademarks
umbraco.ninja is not an official Umbraco partner, reseller or support channel, and nothing on this website should be read as suggesting otherwise. We provide our own independent consultancy services that relate to the Umbraco CMS.
- "Umbraco" is a trademark of Umbraco A/S.
- "Microsoft", "SQL Server" and "Azure" are trademarks of the Microsoft group of companies.
- "Amazon Web Services", "AWS" and "Amazon RDS" are trademarks of Amazon.com, Inc. or its affiliates.
- All other trademarks belong to their respective owners.
We use these names only to describe the software and platforms our services relate to. Their use does not imply any affiliation with, or endorsement by, their owners.
Using this website
You may use this website to learn about our services and to request a quote. You must not misuse it, for example by attempting to gain unauthorised access, introducing malicious code, or submitting false information. The content of this website is provided for general information and may change without notice.
News from the Umbraco blog
Our News section shows headlines and short summaries from the public Umbraco blog, with links to the original articles on umbraco.com. Those articles belong to Umbraco A/S. We do not write, control or endorse them and are not responsible for their content.
Quotes and orders
A quote from us is valid for 30 days unless it says otherwise. A contract is formed only when you accept a written quote or proposal and we confirm it. The quote or proposal sets out the scope, price, timeline and any assumptions, and it takes priority over these terms if the two conflict.
Work outside the agreed scope, or work made necessary by information that turns out to be inaccurate, will be quoted separately before we carry it out.
10% off first-time orders
New customers receive 10% off their first order with us. The discount applies to the fixed price in your first accepted quote, and is applied once per customer or organisation. It cannot be exchanged for cash or combined with other offers, and we may change or withdraw the offer at any time without affecting quotes already accepted.
Your responsibilities
- You confirm that you own the website you ask us to work on, or are authorised by its owner to instruct us and to share access with us.
- You will give us accurate information and timely access to the systems we need.
- You are responsible for keeping your own backups unless backups are included in the services you buy from us.
- You will review and sign off work on staging before it is deployed to your live website.
Access to your systems
If you give us login details or other access, we will use them only to carry out the agreed work, keep them encrypted while we hold them, and delete them when the work ends. We strongly recommend that you create a temporary account for us rather than sharing your own, and that you remove or change it when the work is complete.
Security testing
We will only carry out penetration testing or other security testing against systems you have authorised us, in writing, to test, and only within the agreed scope and time window. You confirm you have the right to authorise testing of those systems, including any third-party hosting they run on. Security testing reduces risk but cannot guarantee that a system has no vulnerabilities.
Retainers and hosting
Monthly retainers and hosting services run for the minimum term stated in your quote, then continue month to month until either of us gives [30] days' written notice. Security monitoring under a retainer covers the Umbraco and package versions we agreed with you; we cannot guarantee that every vulnerability will be identified or that a patch will be available.
Payment
Unless your quote says otherwise, we invoice [50% on acceptance and 50% on completion] for projects, and monthly in advance for retainers and hosting. Invoices are payable within [14] days. We may pause work if invoices are overdue.
Liability
We carry out our work with reasonable skill and care. Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud. Otherwise, we are not liable for indirect or consequential losses, or for loss of profit, revenue, data or goodwill, and our total liability under any order is limited to the amount you paid us for that order.
Intellectual property
Once you have paid in full, you own the custom code we write specifically for you. We keep ownership of our own tools, know-how and reusable components, and give you a licence to use any of them included in your project. Umbraco and third-party packages remain subject to their own licences.
Changes to these terms
We may update these terms from time to time. The version in force when you accept a quote applies to that order.
Governing law
These terms are governed by the laws of [England and Wales], and the courts of [England and Wales] have exclusive jurisdiction.
